SorbIts® Subscription Terms and Conditions

Subscription Provider

ITU AbsorbTech, Inc. (ITU AbsorbTech) owns and operates the SorbIts.com website (Site), which offers SorbIts®, on a subscription basis, to manufacturing companies.

SorbIts® Products

SorbIts® is a product line of launderable, reusable absorbents owned by ITU AbsorbTech which are rented for acceptable industrial applications involving non-hazardous fluids on factory floors.  You may receive both previously used/laundered product and new product at each delivery. Individual pieces may show color variation; however, they all perform at high absorption levels.

Acceptable and Prohibited Industrial Applications

Examples of acceptable industrial applications for SorbIts® include petroleum-derived or synthetic oil that has been used or spilled, such as: engine oils, transmission fluids, metalworking fluids and oils, coolants, hydraulic fluid, industrial process oils. SorbIts® must not be used for absorbing prohibited substances.(1)

Subscribers

Customers (Subscribers) register with the Site to rent and use SorbIts®. Subscribers must provide accurate and complete information and are responsible for maintaining the confidentiality of their account credentials. ITU AbsorbTech is not under any obligation to accept any individual as a Subscriber and may accept or reject any Subscription at its sole and complete discretion.

Subscriptions

Through the Site, ITU AbsorbTech offers a variety of SorbIts® that Subscribers rent (Subscription, Subscribe). Subscription includes a unique managed service program at an established, recurring frequency of once every four weeks:

  • Pickup and laundering of soiled SorbIts®, and delivery of clean SorbIts® to Subscriber’s facility and point-of use.
  • Supply of signage and drums and/or containers (Drums) for clean and soiled SorbIts® which remain the sole property of ITU AbsorbTech.
  • Training at SorbIts® point-of-use.
  • Reports detailing SorbIts® program usage and cost, and sustainability impact.

Terms of Use

Subscribers agree to abide by these Terms of Use (Terms). If Terms are not accepted Subscription to SorbIts® will not be fulfilled. ITU AbsorbTech reserves the right to update or modify Terms without prior notice. Please review Terms periodically for any changes.

Subscription Length

Subscription length is four weeks commencing with the delivery of clean SorbIts® to Customer.

Recurring Payment Authorization and Billing Cycle

Subscriber authorizes ITU AbsorbTech to charge their chosen payment method on a recurring four week billing cycle for as long as Subscriber continues the Subscription.

Payment Information


Subscriber agrees to provide accurate, complete, and updated information for the payment method. Failure to do so may result in delays, suspension, or termination of the Subscription.

Price Changes

ITU AbsorbTech reserves the right to change pricing for SorbIts® upon thirty (30) days’ notice to Subscriber. Such notice may be provided at any time by posting the changes on the Site or by email communication.

Promotional Offers

Each promotional offer (Offer) and code is subject to the specific terms and conditions stated on the offer as well as these Terms. Each promotional code expires at 11:59pm CST on the date stated in the Offer. The Offer cannot be combined with any other Offer or promotional code. The Offer and promotional code is valid for one Subscription per Subscriber during the length of the promotion. Offer codes cannot be redeemed for cash or any cash equivalent; no substitutions or credits allowed. Subscriber must enter the promotional code at checkout to receive offer and no adjustments can be made on previous Subscriptions. Offer is subject to change.

Minimum Subscription Value

There is a $100.00 minimum Subscription value for SorbIts® per four week billing cycle. The $100.00 minimum does not include the Environmental Stewardship Charge.

Environmental Stewardship Charge



Each four week billing cycle includes an Environmental Stewardship Charge of $15.95 which helps to defray ITU AbsorbTech’s costs for environmental regulatory compliance and permitting.

Subscription Changes

Subscriber may change their Subscription for SorbIts® types and quantities by updating their Subscription on the Site account page or contacting ITU AbsorbTech’s Customer Response Center. Changes must be made more than ten (10) business days before the next scheduled service date.

Subscription Cancellation

Subscriber may cancel Subscription for all SorbIts® at any time by logging onto the Site account page and following the cancellation instructions. Subscriber can also email ITU AbsorbTech’s Customer Response Center at [email protected]. Cancellations must be made more than ten (10) business days before the next scheduled service date to avoid being charged for the next billing cycle.

Return of SorbIts® after Subscription Cancellation

All SorbIts® and Drums remain the sole property of ITU AbsorbTech and must be returned following a Subscription cancellation; failure to do so may result in a cost-based replacement rate charge.

Refund Policy

Refunds are not available for SorbIts® and services already provided or for cancellations within ten (10) business days of the next service date. Once a delivery has been made, Subscription payment for that billing cycle is non-refundable. Refunds will be eligible: (1) if Subscription is cancelled more than ten (10) business days and payment has been made, or (2) for payment for SorbIts® quantities for types which Subscriber changed more than 10 days prior to the next scheduled delivery date.

Delivery and Service of SorbIts®

ITU AbsorbTech is not obligated to fulfill a Subscription if SorbIts® cannot be delivered due to an incorrect shipping address, Subscriber’s failure or refusal to accept delivery, or for any other similar reason. ITU AbsorbTech also reserves the right to cancel any Subscription or refuse delivery and service to certain addresses due to impassable roads, inaccessible loading docks, material handling concerns, or ITU AbsorbTech employee safety. Delivery is only available within specific zip codes and only to commercial facilities (no residential homes, boat docks, garages, condos, apartments, etc.).

Ownership of SorbIts®

Subscriber acknowledges that SorbIts® and Drums remain the property of ITU AbsorbTech, and ITU AbsorbTech reserves the right to physically inventory SorbIts® and Drums in Subscriber’s possession and charge a cost-based rate for SorbIts® or Drums lost, abused, or used with prohibited substances.(1)

Hazardous Waste

Subscriber acknowledges that ITU AbsorbTech cannot transport or process hazardous waste, prohibited substances(1), or free-standing liquid. Drums containing free-standing liquids will not be transported by ITU AbsorbTech.

Special Handling Charge

Subscriber agrees that ITU AbsorbTech reserves the right to apply a Special Handling charge for repeated non-conformances of excessively heavy Drums, excessive fluids, trash, and other foreign matter in Drums containing soiled SorbIts®, and that such substances mixed with SorbIts® may be returned.

Communication

Subscriber consents to receive communications from ITU AbsorbTech regarding their Subscription including but not limited to billing notifications, service reminders, price changes, availability of new SorbIts®, and promotional offers.

Suspension and Termination

ITU AbsorbTech reserves the right to suspend or terminate Subscription and access to ITU AbsorbTech’s SorbIts® at any time for any reason, including but not limited to violating these Terms.

Copyrights and Trademarks

The contents and all trademarks on the Site are the property of ITU AbsorbTech.

General Restrictions on Use

The rights granted to Subscriber with these Terms will remain in force only for so long as these Terms remain in effect. Subscriber may not rent, transfer, assign, commercially exploit, resell, or sublicense SorbIts® to any third party. Terms shall be binding and shall inure to the benefit of personal representatives, successors, and assigns of the parties hereto, provided that Subscriber may not assign Subscription without ITU AbsorbTech’s prior written consent.

Limitation of Liability

ITU AbsorbTech and its affiliates, directors, officers, employees, shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in any way connected with Subscriber’s use of this Site or the SorbIts® offered herein.

Indemnification

Subscriber agrees to indemnify and hold harmless ITU AbsorbTech and its affiliates, directors, officers, employees, from any claims, damages, losses, liabilities, costs, or expenses arising out of or in any way related to Subscriber’s use of SorbIts® or violation of these Terms.

Force Majure

Subscriber agrees that if ITU AbsorbTech operations are interrupted and the services covered by these Terms are delayed or terminated by acts of God, strikes or other industrial disturbances or any other cause not within the control of ITU AbsorbTech, ITU AbsorbTech will not be held liable for resulting damages.

Governing Law

If any provision of these Terms is determined to be invalid by a court of competent jurisdiction the remaining Terms shall remain in full force and effect. Terms shall be governed by and construed in accordance with the laws of Wisconsin, without regard to its conflict of law provisions.
